Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the products and services (the “Service”) provided by JMJ Billing LLC(“JMJ Billing LLC,” “we,” “our,” or “us”). JMJ Billing LLC operates JMJ Billings (accounts-receivable automation) and JMJ Office (quoting, invoicing, and payments). “JMJ Billings” is a trade name of JMJ Billing LLC. These Terms combine our Terms of Service AND End User License Agreement (EULA) into a single binding contract between JMJ Billing LLC and the account holder (“you” or “your”).

This document is a master agreement: the General Terms below apply to every product, and each Schedule adds terms specific to one product. When you sign up, you accept the General Terms plus the schedule(s) for the product(s) you use — a JMJ Office signup accepts the General Terms and the JMJ Office schedule; a JMJ Billings signup accepts the General Terms and the JMJ Billings schedule (and, because JMJ Billings includes JMJ Office, the JMJ Office schedule as well). Lyakon (our sales CRM) is governed by its own Terms of Service published on its own domain.

By creating an account, clicking a button labeled “I agree” or similar, or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

General Terms

These General Terms apply to every JMJ Billing LLC product. The product schedules that follow add product-specific terms.

1. The parties

The Service is provided by JMJ Billing LLC (“we”). “You” means the account holder. You represent that you are at least 18 years old and, where you sign up on behalf of a business, that you have authority to bind that business to these Terms.

2. Accounts, license, and acceptable use

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Two-factor authentication (TOTP) is required. You agree to one account per organization, to provide accurate information, not to abuse the Service, and not to resell, sublicense, or white-label the Service to third parties without our prior written authorization.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service and our software, designs, templates, models, and documentation for your own internal business purposes during your subscription term. This license constitutes the End User License Agreement (EULA) component of this combined agreement and ends automatically on termination. You retain ownership of the data you upload, sync, or generate (“Customer Data”); we do not sell Customer Data and do not use it to train machine-learning models for use outside your account.

3. Fees, billing, trials, and referrals

Subscriptions bill via Stripe on the JMJ Billing LLC account. Plan pricing, billing period, free trials, and any referral free-month credits are as described at signup and on your billing page. Referral rewards unlock on the referred account’s first real payment and may be reversed on refund or dispute. Subscriptions renew automatically until cancelled; you may cancel at any time from your billing settings or by emailing info@jmjbillings.com. Cancellation stops future renewals; access continues through the end of the current paid period.

4. Payment processing — pass-through

For any payment your customers make to you through a connected processor (Stripe, Square, PayPal, Cash App, Venmo, Zelle, ACH, or check), JMJ Billing LLC is not a party to that payment, is not a money transmitter, and never holds, routes, or takes custody of your funds. Your processor’s terms govern the money; we only generate the payment link and record the result. Money moves directly from your customer to your own merchant account.

5. Warranties and disclaimers

The Service is provided “AS IS” and “AS AVAILABLE”, without warranty of any kind. JMJ Billing LLC disclaims all implied warranties, including the implied warranties of merchantability and fitness for a particular purpose. We make no uptime or availability commitment.

No warranty of collection outcome. JMJ Billing LLC expressly makes no warranty as to any collection outcome, recovery rate, or timing of payment. Whether an invoice is paid, how much is recovered, and when, are outside our control and are not promised by these Terms or by any figure, projection, or estimate shown anywhere in the Service.

6. Limitation of liability

JMJ Billing LLC is not liable for any indirect, incidental, or consequential damages arising out of or relating to these Terms or the Service.

Our total cumulative liability arising out of or relating to these Terms or the Service is capped at the fees you paid to JMJ Billing LLC in the twelve (12) months preceding the claim.

7. Indemnification

You indemnify JMJ Billing LLC in respect of each debt you submit to or pursue through the Service — specifically its validity, your ownership of it, and your right to pursue it.

This indemnity applies to any debt that is time-barred, disputed, discharged in bankruptcy, or not yours. You are the party in a position to know these things; we are not, and the Service does not determine them for you.

8. Governing law

These Terms are governed by the laws of the State of Texas.

9. Termination

Either party may terminate. You may close your account at any time by cancelling and requesting deletion via info@jmjbillings.com. We may suspend or terminate for material breach, non-payment, or use that exposes JMJ Billing LLC or its other customers to legal or operational risk; where reasonably possible we notify first and allow an opportunity to cure. On termination the license in §2 ends, we retain data per the Privacy Policy retention section, and you may export your JMJ Office data via the export pack.

10. Changes to these Terms

We may update these Terms; material changes are notified via the email on file and posted here with an updated “Last updated” date before they take effect. Continued use after the effective date constitutes acceptance.

Notices. Notices to JMJ Billing LLC must be in writing and addressed to JMJ Billing LLC at 1511 W Hwy 71, Ste 110, Bee Cave, TX 78738, with a copy by email to info@jmjbillings.com.

Schedule A — JMJ Billings (accounts-receivable automation)

A1. The service

We advance your past-due invoices through a fixed follow-up sequence and send pre-approved reminder templates from your authenticated sending domain, signed as your business — never as JMJ. We also provide inbound reply classification and reporting on AR performance.

Creditor’s agent, not third-party debt collector. JMJ Billings operates the Service as your agent in connection with accounts you own (debts owed directly to you). The Service is not a third-party debt collector under the Fair Debt Collection Practices Act (FDCPA) for accounts in your own name. You retain ownership of the receivables and remain the legal creditor at all times.

A2. What JMJ Billings is, and what you represent

JMJ Billings provides software. It does not itself collect debts. The Service is an application you use to communicate with your own customers about amounts they owe you. You act on your own behalf using the platform — the messages go out under your business name, from your sending domain, about your receivables. JMJ Billing LLC operates the software; it is not a party to the underlying obligation.

Your representations. By using the Service you represent, for each amount you pursue through it, that the debt is valid, undisputed, and lawfully owed, and that you have the right to pursue collection of it.

Your Do-Not-Contact obligations are yours. You maintain your own Do-Not-Contact obligations. The Service provides tooling to help, but the obligation does not transfer to us by your using it.

Operationally, you must maintain an accurate Do-Not-Contact (DNC) list within the Service and promptly add any recipient upon a request to stop, a cease-and-desist, or a dispute requiring verification. JMJ Billings enforces a three-layer DNC guardrail, but maintaining the underlying list is your responsibility.

A3. Senior review / placement (Stage 6)

At the final stage, unresolved invoices may be referred to a recovery partner (the anchor) for collection on your behalf, subject to your written authorization on a per-account or standing basis. When you authorize such a referral, the partner’s standard contingency fee applies to amounts actually recovered, and JMJ Billing LLC retains a five percent (5%) margin on the recovered amounts as compensation for placement and oversight; the net recovered balance is returned to you. No referral occurs without that authorization.

How you authorize, and how you revoke. You may authorize placement either at each individual placement, or on a standing basis covering accounts that meet the criteria. Your agreement to these Terms applies at each placement made under either form. In either case the authorization is revocable at any time.

A4. AI limits

AI classifies and routes inbound replies; it never generates the debtor-facing message content. All debtor-facing outbound is sent from pre-approved templates, signed as your business.

Schedule B — JMJ Office (quoting, invoicing, payments)

B1. The service

Create quotes and invoices, send them from your own sending identity, collect payment through your connected processors, and optionally sync to your QuickBooks Online as your book of record. JMJ Office may also use AI to draft quote and invoice line items from a description you type or speak; AI drafts only — a human reviews, finalizes, and sends.

B2. Quote e-signature

Where you use the standard net-30 clause, your customer’s e-signature forms a binding agreement between you and your customer — JMJ Billing LLC is not a party to that agreement.

B3. QuickBooks writeback authorization

If you connect QuickBooks to JMJ Office and enable writeback, you authorize us to create and update invoice, customer, and payment records that originate in JMJ Office. We never delete QuickBooks data.The “payment” records we write are book records of payments you already received — not money movement. You can disconnect at any time.

B4. Payments

Per General Terms §4 — your processor, your money, our link. JMJ Billing LLC never holds or takes custody of your funds.

Acceptance

Signup presents the General Terms plus the schedule(s) for the product(s) you use. We record your acceptance (timestamp and version) per account.
